SOMBA.io – Terms of Use

  • Parties and Scope

    • These Terms of Use govern the rights and obligations between Sigrun GmbH, a limited liability company domiciled in Switzerland (hereinafter "the Company"), and you, a user of SOMBA.io (hereinafter "User" or "you", collectively the "Parties").

    • These Terms of Use, along with our General Terms & Conditions, Data Processing Agreement (DPA), and any other referenced agreements, collectively regulate your access to and use of SOMBA.io. In case of conflicting provisions, the specific terms of an applicable agreement (e.g., a separate service agreement or promotional offer) shall take precedence. 

    • By using SOMBA.io, you acknowledge that you have read, understood, and agreed to these Terms of Use, our General Terms & Conditions (available at https://www.sigrun.com/terms-conditions/), and the Data Processing Agreement (DPA) (available at https://www.somba.io/dpa).

    • User Eligibility and Purpose

      SOMBA.io is exclusively intended for business users and not for consumers as defined under applicable consumer protection laws. It is designed for individuals engaging in entrepreneurial activities, such as starting or running a business. Consumers—meaning individuals using the platform for personal, private, or non-business-related purposes—are strictly prohibited from using SOMBA.io.

      By accessing or using SOMBA.io, you confirm that you are not a consumer and that you are using the platform solely for professional, commercial, or self-employment purposes. Users must also be of legal age (e.g., 18 years or older in Switzerland).

      If you are a consumer or do not agree with these Terms of Use, you must not register, access, or use SOMBA.io in any manner.

    • Promotional Codes, Gift Cards, and Pre-Paid Access
      If you have purchased or received a promotional code, gift card, pre-paid offer, or other access credential (hereinafter the "Code") provided by or on behalf of the Company, separate terms and conditions may apply to your access to SOMBA.io. In such cases, you agree to comply with both these Terms of Use and any additional terms specific to the Code. In the event of inconsistencies, the Code-specific terms shall prevail.

    • User Notifications
      We may communicate relevant information regarding SOMBA.io through email, in-platform notifications (e.g., dashboard announcements), or other suitable methods. It is your responsibility to regularly check SOMBA.io for important updates, as notices posted within the platform may be legally binding.

  • Account Registration and Team Members

    • To access and use SOMBA.io, you must create an account ("Account"). The individual or entity that registers an Account ("Account Holder") must complete the registration process by providing accurate and complete information as required by the registration form.

    • Account Security & Liability
      • You are responsible for maintaining the confidentiality of your Account login credentials. You agree not to share or disclose your credentials to any third party. If unauthorized access occurs due to your failure to secure your Account, you may be held liable for resulting damages.
      • We are not liable for any loss or damage resulting from unauthorized use of your Account unless such use is caused by our negligence or a security breach on our part. However, you may be held responsible for losses incurred by us or third parties due to unauthorized access resulting from your actions or negligence.

      Any personal data provided during Account registration or through the use of SOMBA.io is governed by our Privacy Policy.

    • Team Member Access & Responsibilities

      Account registration is available to Account Holders only. Account Holders may add Team Members to their Account and assign individual login credentials. Team Members’ access is limited to the permissions granted by the Account Holder.
      • The Account Holder remains fully responsible for all activities under their Account, including any actions taken by Team Members. Any breach of these Terms by a Team Member is considered a breach by the Account Holder.

    • Suspension & Termination of Accounts
      If we determine that an Account Holder or Team Member has:
      • Provided false or misleading information,
      • Shared their Account or login credentials with unauthorized persons,
      • Distributed non-public Content to unauthorized individuals, or
      • Engaged in any misuse of SOMBA.io,

      We reserve the right to suspend or terminate the Account without refund and deny current and future access to SOMBA.io. In cases of suspected violation, we may, at our discretion, request clarification before taking action. However, repeated or serious violations may result in immediate termination without prior notice.

  • Pricing and Trials

    • Pricing and Payment Plans
      A description of our available payment plans ("Plans") is provided on our checkout form and may also be found on our website. At the time of registration, you will see the pricing details of the selected Plan, including the applicable billing cycle and due dates for payment.

    • We reserve the right to change Plan prices, including recurring membership fees, at any time. Any price changes will be communicated to you in advance and will take effect at the start of the next billing period following the change. Additionally, we reserve the right to modify, discontinue, or amend our Plans, promotions, or discounts at any time without liability, subject to applicable law.

    • Promotions and Trials
      We may offer promotional discounts or special Plans for SOMBA.io, including limited-time trials ("Trials"). Trials may be offered free of charge or with an initial fee upon Account registration. The specific Trial period duration, applicable fees (if any), and terms will be clearly provided at the time of the offer. We retain the right to determine eligibility for Trials at our sole discretion and may modify or withdraw a Trial at any time without prior notice and without liability, to the extent permitted by law.

    • Payment Details and Automatic Billing
      To begin a Trial, you are required to provide valid payment details. By doing so, you agree that:
      • If the Trial has an associated fee, we may charge you immediately upon registration.
      • Unless you cancel before the end of the Trial period, your selected Plan will automatically activate, and your payment method will be charged on the first day following the Trial's expiration.

      The payment amount will be based on the Plan you selected and will renew automatically each month or year, depending on the Plan, until you cancel.

    • Trial Expiration and Cancellation

      If you do not wish to continue with a paid Plan, you must cancel before the Trial period ends to avoid being charged. Any free Trial will automatically expire after the stated Trial period, at which point your Plan will continue as a paid subscription unless canceled.

    • You are not eligible for another Trial if you have previously signed up for one. Using a different email address to obtain additional Trials is not permitted.

  • Payments, Cancellations and Refunds

    • Payment Terms & Auto-Renewal

      By registering for an Account, you agree to the fees, payment terms, and billing schedule displayed on our checkout form at the time of purchase.

      During the purchase process, you will be required to provide valid payment details, including but not limited to:

      • Full name

      • Credit/debit card number
      • Billing address
      • Card expiration date and security code

    • Your selected Plan will automatically renew each month or year (depending on your Plan) at the agreed price until you actively cancel. You authorize us to charge your payment method automatically without additional authorization or reminders. You can access your payment history and billing details within your Account dashboard at any time. We are also authorized to share necessary payment information with third-party payment processors to complete transactions securely.

    • Non-Payment & Account Suspension
      If payment is not received by the due date, we reserve the right to:
      • Suspend or terminate your access to SOMBA.io immediately
      • Restrict access to any content, tools, or features associated with your account.
      • Permanently delete your Account and all associated data

      Reinstating access after failed payment may require manual reactivation and settlement of outstanding dues.

      The processing, retention, and deletion of your Personal Data following account suspension or termination is governed by our Data Processing Agreement (DPA).

    • Cancellation Policy

      You may cancel your Plan at any time. However, cancellation becomes effective only at the end of the current billing cycle. Until then, your access to SOMBA.io remains active. Upon cancellation, all granted licenses immediately terminate, and you will no longer have access to the Services.


    • No Refund Policy & Chargebacks

      All purchases are final and non-refundable. No refunds, partial or full, will be issued for any reason, and no prorated refunds will be provided for unused portions of a Plan. Given this explicit no-refund policy, you agree not to dispute charges or initiate chargebacks through your bank, credit card provider, or payment processor.

      Unauthorized chargebacks may result in:
      • Immediate termination of your Account

      • Legal action to recover disputed amounts

      • Referral to a collections agency for outstanding balances


  • Limited License

    • By using SOMBA.io, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use SOMBA.io for its intended purpose. This license does not grant you any ownership rights to SOMBA.io or its content.

    • Restrictions on Use
      You agree that, unless expressly permitted in writing by the Company, you will not:

      • Copy, reproduce, distribute, disclose, sell, sublicense, or otherwise share SOMBA.io or any portion thereof with any third party, including but not limited to friends, family, or business associates.
      • Use SOMBA.io for commercial purposes or in any way that generates revenue for you or any third party, except as expressly allowed by the Company.
      • Modify, adapt, translate, create derivative works from, decompile, disassemble, reverse engineer, or attempt to obtain source code or underlying trade secrets of SOMBA.io.
      • Engage in any activity that interferes with, disrupts, damages, or harms the Company, SOMBA.io, or its users.

    • Funnel Access and Restrictions

      Any funnels provided through your SOMBA.io Account remain the exclusive property of Sigrun GmbH. You may use these funnels only within SOMBA.io as permitted under your Plan. Funnels cannot be transferred, exported, copied, or otherwise removed from SOMBA.io.

    • The Company reserves the right to suspend or revoke access to SOMBA.io if you violate any of these terms.

  • Account Holder Content

    • Content that you upload to SOMBA.io ("Account Holder Content") remains your property. Except as otherwise stated, you retain all ownership rights to your Account Holder Content.

    • Your Responsibilities and Permissions

      By uploading Account Holder Content to SOMBA.io, you agree that:

      Content Review:
      • We may review your Account Holder Content for any reason, but we are not obligated to do so.
      • You upload content at your own discretion, and we do not certify, approve, or pre-screen any content before it is uploaded.

      Storage and Access:

      • You allow us, our affiliates, and vendors to store your content as part of our services.
      • You authorize us to access your Account and Account Holder Content if needed to assist with any issues you may encounter.

      Ownership and Rights:

      • You confirm that your Account Holder Content does not infringe third-party copyrights or proprietary rights, unless you have obtained the necessary permissions.
      • You affirm that you own or have the necessary rights, licenses, permissions, and consents to upload and publish your Account Holder Content.

      License Grant to SOMBA.io:

      • By uploading content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
      ◦ Access, store, distribute, display, perform (e.g., transmit), create derivative works, and use your content to operate and improve SOMBA.io.
      ◦ Promote and redistribute parts of your content in any media format and through any media channel, including for advertising or commercial purposes.
      • This license does not change your ownership but allows us to display and operate your content within SOMBA.io.

      Retention and Deletion:

      • If you delete your content, we may retain server copies, but we will not display, distribute, or perform the deleted content.
      • If you cancel or your Account is terminated, you will lose access to all content, including Account Holder Content and funnels.
      • Account Holder Content and funnels cannot be exported or transferred to another Account.

      Content Removal and Termination:

      • We are not responsible for Account Holder Content and do not endorse any opinions expressed within it.
      • We reserve the right to:
      ◦ Disable access to SOMBA.io if you violate these Terms of Use.
      ◦ Remove your content or terminate your Account without prior notice if necessary.
      • Upon termination or cancellation:
      ◦ We do not guarantee continued access to your Account Holder Content.
      ◦ We are not liable for any loss of Account Holder Content after termination.
      ◦ You will be removed from any SOMBA.io support group.

  • Payment Processing Services

    • Third-Party Payment Processors:
      Payment processing services for SOMBA.io are currently provided through Stripe and are subject to Stripe's Terms of Service and user agreements. We may integrate with additional payment processors in the future, which will be governed by their respective terms of service.

    • User Agreement & Compliance:
      By using SOMBA.io and enabling payment processing, you agree to comply with the terms of service of any payment processor integrated with your Account. 
      • You are required to provide accurate and complete information about yourself and your business to enable payment processing services.
      • You authorize us to share your provided information and transaction details with the respective payment processor as needed to facilitate payments.

    • Legal & Regulatory Compliance:
      You are solely responsible for ensuring that your use of payment processing services complies with all applicable laws and regulations in the country or countries where you conduct business. We assume no responsibility for your legal or tax compliance obligations related to payment transactions.

  • Use of Feedback, Ideas and Testimonials

    • From time to time, we may invite Account Holders and Team Members to submit feedback, ideas, or testimonials related to SOMBA.io. By submitting any content, including but not limited to designs, graphics, images, photos, text, videos, or other contributions (collectively, "Submissions"), you agree to the following:

      Ownership and Rights
      • You represent and warrant that you own all rights to the Submissions or have explicit permission from the rightful owner to share them.
      • Your Submissions are not confidential, and we may use them without restriction and without payment to you.

    • Use for Marketing and Commercial Purposes
      By providing Submissions, you grant us and our authorized partners:
      • A worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, modify, reproduce, display, distribute, and publish the Submissions in any format or medium.
      • The right to use your name, likeness, email address, screen name, or any other identifying information in connection with marketing, advertising, or promotional materials.

    • Discretionary Use
      • We may or may not choose to use your Submissions for SOMBA.io and can discontinue their use at any time for any reason.
      • You acknowledge that we are not obligated to use your Submissions.

  • Code of Conduct

    • By using SOMBA.io, you agree to adhere to this Code of Conduct. If you violate any of these terms, we reserve the right to remove your Account, delete your Account Holder Content, and cancel your Plan without refund. We retain sole discretion to determine violations of this Code.

      Prohibited Uses

      You may not use SOMBA.io to:

      Engage in illegal activity or violate any applicable laws or regulations, including but not limited to:
      • Telecommunications laws
      • Data and software export regulations (Switzerland, the U.S., or other applicable jurisdictions)
      • Intellectual property laws (copyright, trademark, patent, etc.)
      • Upload, register, or engage in activities involving abusive, defamatory, offensive, obscene, pornographic, or threatening content.

      Intellectual Property Violations

      You may not:
      • Create derivative works, decompile, disassemble, modify, or reverse-engineer SOMBA.io, except where permitted by applicable law.
      • Lease, rent, sell, or sublicense any part of SOMBA.io.
      • Alter or remove any copyright, trademark, or other intellectual property notices on SOMBA.io.
      • Upload or share copyrighted, proprietary, or trademarked material without the express permission of the rightful owner.

      Account and Usage Restrictions

      One business per Account:
      • You may not host client funnels on your Account.
      • If you are an agency, we recommend creating an agency account through our affiliate link.

      No unauthorized data collection:
      • You may not attempt to collect personal information from other Account Holders.
      • No bulk messaging or spam:

      • You may not send unsolicited, cold, junk, spam, or bulk messages via email, chain letters, or any other means.

      Security and Fraud Prevention
      • Fraud will not be tolerated in any capacity.

      • No distribution of malicious software:
      • You may not distribute, send, or transmit malware, viruses, worms, Trojan horses, or any other harmful code.
      • No unauthorized access:
      • You may not attempt to breach security, access another user's account, or interfere with network operations.
      • Users violating network or system security may incur civil or criminal liability.

      Harassment, Hate Speech, and Offensive Content
      You may not:

      • Engage in harassment, intimidation, or discrimination based on age, disability, ethnicity, gender, race, religion, sexual orientation, socio-economic status, or any other protected identity.
      • Use hate speech or communicate in a manner that promotes violence or harm toward an individual or group.
      • Post or distribute explicit, graphic, fraudulent, harassing, invasive, libelous, or unlawful content, including but not limited to:
      • Sexual language of a violent or threatening nature
      • Content that violates any of our rules or policies

      Misuse of SOMBA.io
      • You may not use SOMBA.io for any purpose other than its intended use.
      • We reserve the right to remove any content or suspend accounts that violate this Code of Conduct at our sole discretion.

  • Legal Compliance

    • Compliance with Laws and Regulations

      By using SOMBA.io, you agree to:
      • Follow all applicable laws, orders, regulations, and rules in any jurisdiction relevant to your activities on SOMBA.io.
      • Ensure compliance with data protection, privacy, consumer rights, and telecommunications laws.
      • Represent and warrant that:
      • Your activities on SOMBA.io do not violate any law, regulation, or governmental order.
      • Any information you use or supply to the Company was lawfully obtained and does not infringe on any third-party rights.

    • Handling of Personal Data
      You agree that:
      • You will collect, store, and transfer personal data lawfully, ensuring compliance with relevant data protection laws.
      • You will obtain all necessary consents and provide required notices before transferring any personal data to SOMBA.io or the Company.
      • You are solely responsible for ensuring lawful processing and transfer of any personal data you use in connection with SOMBA.io.

    • Liability Release and Indemnification
      To the maximum extent permitted by law, you:
      • Release, discharge, and agree not to sue Sigrun GmbH and its:
      • Affiliates, subsidiaries, officers, directors, managers, members, owners, employees (past and present), representatives, agents, assigns, vendors, suppliers, and successors (collectively, "Releasees").
      • Agree to hold Releasees harmless from any claims, legal actions, liabilities, or damages arising from:
      • Your violation of third-party rights, including copyright, privacy, or intellectual property rights.
      • Unauthorized access, collection, disclosure, use, or failure to protect personally identifiable information or confidential corporate data.
      • Failure to obtain required consents or provide required notices for the lawful transfer of personal data.
      • Acknowledge that this release does not cover claims related to gross negligence or intentional misconduct by Releasees.

  • Our Rights in Operating SOMBA.io

    • We retain full rights to manage and operate SOMBA.io, including but not limited to the following:

      Access, Modification, and Termination

      We reserve the right to:
      • Modify, restrict, refuse, or terminate access to SOMBA.io at any time, for any reason, and without prior notice.
      • Remove any user from SOMBA.io at our sole discretion, regardless of any other provision in these Terms of Use.
      • Alter, change, modify, suspend, or terminate any provision of these Terms of Use at any time, without prior notice.

      Content Monitoring and Customer Support Access

      • We may, but are not obligated to, monitor any Account Holder Content appearing on SOMBA.io.
      • If you experience technical difficulties with uploading content or require customer support, you authorize us to access your Account solely for the purpose of providing assistance.

      Data Retention and Archival Copies

      • If you cancel your Account, we may retain a copy of your Account Holder Content after termination.
      • By using SOMBA.io, you grant us a perpetual, non-exclusive, and irrevocable license to maintain an archival copy of your content for.
      • Compliance with legal and regulatory requirements.
      • Internal business purposes, subject to applicable laws.

  • Errors and Corrections

    • We do not guarantee that SOMBA.io will be error-free, uninterrupted, or always available, nor do we guarantee that defects or issues will be corrected.

    • Service Availability and Maintenance
      • We may restrict or limit access to SOMBA.io at any time for maintenance, upgrades, or internal business purposes.
      • We will make commercially reasonable efforts to schedule maintenance outside of peak hours, but some downtime may still occur.
      • We are not liable for any unavailability, interruptions, or errors that may occur on SOMBA.io at any time.

    • Improvements and Changes
      • We reserve the right to modify, improve, or change SOMBA.io, its features, and its functionality at our sole discretion and without prior notice.
      • Errors in Account Holder Content are the sole responsibility of the Account Holder who uploaded the content.

    • Limitation of Liability
      • We will not be liable for any reason if all or any part of SOMBA.io is unavailable at any time or for any duration.

      You acknowledge that use of SOMBA.io is at your own risk, and we make no guarantees regarding its reliability, accuracy, or accessibility.

      • The processing, retention, and deletion of any Personal Data impacted by service interruptions, downtime, or technical errors is governed by our Data Processing Agreement (DPA).

  • Final Provisions

    • Agreement and Amendments
      • These Terms of Use and the Data Processing Agreement (DPA), available at https://www.somba.io/dpa, are agreed to electronically when an Account Holder signs up for SOMBA.io. No physical signature is required.
      • The Company may amend these Terms of Use or the DPA at any time. Amendments shall become binding upon publication or notification through SOMBA.io. Continued use of SOMBA.io after an update constitutes acceptance of the revised Terms or DPA.

    • Severability Clause
      • If any provision of these Terms of Use or the DPA is found to be invalid, unenforceable, or ineffective, the remaining provisions shall remain in full force and effect.
      • The Parties agree to replace any invalid provision with one that lawfully achieves the original intent.

    • Governing Law and Jurisdiction
      • These Terms of Use and the DPA shall be governed exclusively by Swiss law.
      • The application of conflict of law principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.

      • The exclusive place of jurisdiction for any disputes arising from or in connection with these Terms of Use or the DPA shall be the registered office of the Company in Switzerland.
